RELAYER End User Licence Agreement

About this agreement
This agreement governs your use of RELAYER, including its standalone application, plugin formats and accompanying documentation (“Software”).
By expressly accepting this agreement when installing or activating the Software, you agree to these terms. If you do not agree, do not install or use the Software. Any rights you have under applicable consumer law remain unaffected.
Your licence
After purchasing a licence, Bight Audio grants you a personal, non-exclusive, non-transferable licence to use the purchased version of the Software for personal and commercial audio production.
The licence is provided for a one-time payment. No recurring subscription fee applies to that purchased version. This does not include a promise of lifetime support, compatibility with future operating systems or hosts, or free future major upgrades.
The Software is licensed, not sold. Bight Audio and its licensors retain ownership of the Software and its intellectual property.
Activations
One purchased licence permits activation on up to three computers at a time, owned or controlled by the same licensee.
These activations are for your own use and do not permit sharing the licence between separate users. You must not sell, transfer, rent, sublicense, distribute or publicly share your licence key.
If you replace a computer, reinstall your system or cannot access an existing activation, contact hello@bightaudio.com to request an activation reset. Released activation slots can be used again; this is not a lifetime limit of three computers.
Separate operating-system user accounts on the same computer may consume separate activation slots. The standalone application and plugin instances share a saved activation within the same operating-system user account. Contact support if this prevents you using your permitted computers.
Internet access and authentication
An internet connection is required for initial licence activation. RELAYER verifies your licence through Lemon Squeezy and saves the activation locally. Initial activation cannot be completed offline.
After successful activation, RELAYER periodically attempts online licence validation, normally once every 24 hours while running. A valid saved activation has no time-based offline expiry. Network problems, service interruptions or an unsuccessful validation response caused by a temporary service error do not, by themselves, disable that saved activation.
If the licensing service confirms that your licence or activation is invalid or has been revoked, RELAYER may disable licensed playback. Loss or corruption of the saved activation, a changed operating-system account, or an incorrect system clock may require online reactivation or support assistance. This does not limit your statutory rights.
Seven-day trial
RELAYER provides a seven-day evaluation trial beginning automatically on first use of the standalone application or plugin. The trial lasts 168 consecutive hours, including time when RELAYER is closed, and does not restart when you reopen it.
When the trial expires, the Software mutes its audio output and cannot be used to produce audio until a valid purchased licence key is successfully activated.
Trial expiry does not delete your projects, presets or existing captures. Playback remains muted until a valid licence is activated. The trial does not automatically become a paid purchase or create a subscription.
The trial restriction does not change ownership of your audio, projects or other original work.
Permitted use and restrictions
You may use the Software to create, process and export audio for personal or commercial projects.
Except where applicable law permits otherwise, you must not:
Redistribute or resell the Software without written permission.
Share licence keys or provide access to your activations to other users.
Circumvent activation, trial restrictions or other licence protections.
Reverse engineer, decompile or disassemble the Software.
Remove copyright, trademark or other proprietary notices.
You are responsible for ensuring you have permission to use any samples or other material you load into the Software.
Your audio and projects
Bight Audio does not acquire ownership of your original audio, compositions, recordings or projects merely because you use RELAYER.
You do not owe Bight Audio royalties on works created using a valid licence. Rights and restrictions attached to third-party samples or other source material continue to apply.
Purchases and refunds
Lemon Squeezy is the merchant of record for your purchase and handles checkout, payment processing, applicable sales taxes and payment receipts under its Buyer Terms and Conditions. Bight Audio provides the RELAYER software licence and product support and honours the refund guarantee below. This allocation of responsibilities does not exclude either party’s obligations under applicable law. The applicable price, currency, taxes and payment conditions are shown at checkout before payment. After successful payment, Lemon Squeezy delivers your RELAYER licence key by purchase email to the address used at checkout. RELAYER installers are available from the Downloads page on bightaudio.com. Check your email address and spam folder if the purchase email does not arrive. If you do not receive your key or cannot access your purchase, contact hello@bightaudio.com with your order reference or other proof of purchase. Do not send payment-card details.
We offer a 14-day money-back guarantee. If you change your mind, email hello@bightaudio.com within 14 calendar days of purchase with your receipt or other proof of purchase for a full refund, even if you have activated or used RELAYER. Requests received within that period qualify even if processing takes longer. The separate free seven-day trial does not limit this guarantee. This guarantee is in addition to, and does not exclude or limit, any right to a refund, repair, replacement or other remedy under the Australian Consumer Law or other applicable consumer protection laws, including after the 14-day period. See our Refunds Policy for request and processing details. When a full purchase refund is issued, the refunded licence is cancelled and its key is revoked. You must stop using RELAYER under that licence; an offline saved activation does not give permission to continue using a refunded licence. You retain ownership of audio and projects you created, and may continue using audio lawfully created before the refund, subject to any third-party rights. Cancellation does not remove accrued rights or remedies under consumer law.
Compatibility, updates and support
Review the published system requirements and use the trial to assess compatibility with your intended operating system, audio host and workflow.
Bight Audio may provide updates, fixes and improvements. Future major versions may require a separate purchase. Unless expressly stated at purchase, no particular future feature, update schedule or support period is promised.
These provisions do not limit statutory obligations or representations made at the time of sale.
Privacy
Bight Audio handles personal information as described in its separate Privacy Policy.
Licence activation sends your licence key and a device name to Lemon Squeezy. Subsequent licence checks use the licence key and activation identifier. Purchase and support information may be used to deliver your licence, verify your purchase and provide support. Payment processing is subject to Lemon Squeezy’s applicable terms and privacy information.

Consumer rights, warranties and liability
11.1 Rights that are preserved
You may have rights under the Australian Consumer Law and other mandatory laws, including rights concerning acceptable quality, fitness for a disclosed purpose, correspondence with description, express warranties and services supplied with due care and skill. Depending on the circumstances, these rights may include repair, replacement, refund, cancellation and compensation for reasonably foreseeable loss or damage. These rights do not end merely because the seven-day trial or the 14-day money-back guarantee has ended.
Nothing in this agreement, including the disclaimers, exclusions or liability cap below, excludes, restricts or modifies those rights or remedies, any liability that cannot lawfully be excluded or limited, or Bight Audio's obligation to honour the refund guarantee in section 8. The provisions below do not override an express promise Bight Audio has made about the Software or a remedy the law requires for a failure to honour that promise. This section 11.1 prevails over any conflicting wording in this agreement.
11.2 Software supplied "as is"
Subject to section 11.1 and the express commitments in this agreement, the Software is supplied "AS IS" and "AS AVAILABLE". To the extent that additional warranties or conditions may lawfully be excluded, Bight Audio excludes implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement. This does not exclude the consumer guarantees or rights concerning title or undisturbed possession that the law gives you.
Bight Audio does not promise that the Software will operate without any interruption or error, work with every combination of hardware, operating system, audio interface, host or third-party software, or produce a particular creative or commercial result. This does not excuse failure to meet advertised specifications, an express compatibility commitment, or the rights preserved in section 11.1.
11.3 Projects, backups and safe use
Maintain independent backups of important samples, presets and projects. Save important captures outside automatically managed capture storage, test compatibility before relying on an update for a live performance or time-critical session, and use appropriate monitoring levels when auditioning sounds. Keep copies of working projects before changing software or system configurations.
These are practical precautions, not a condition of your consumer rights or an automatic release of Bight Audio from responsibility. Responsibility for avoidable loss is determined under applicable law, taking account of each party's contribution to the loss.
11.4 Indirect loss
Subject to sections 11.1 and 11.6, Bight Audio is not liable for indirect or consequential loss arising from the Software or this agreement. This exclusion includes loss of profit, revenue, anticipated savings, business opportunity or goodwill only to the extent that the loss is indirect or consequential; it does not treat every such loss as indirect merely because of its name.
In particular, this exclusion does not remove a right to compensation for reasonably foreseeable loss under the Australian Consumer Law. Reasonable direct costs of restoring damaged audio or project data are not automatically excluded as consequential loss; where lawfully applicable, they are subject to the cap in section 11.5.
11.5 Aggregate liability cap
Subject to sections 11.1 and 11.6, Bight Audio's total aggregate liability arising out of or in connection with the affected Software licence and this agreement is limited to the greater of (a) the total amount you paid for that licence, including paid upgrades, and (b) AUD 1,000. For a free trial, the cap is AUD 1,000. The cap applies across claims concerning that licence, not separately to each claim or event, whether the claim is in contract, tort (including negligence) or otherwise, but only where that limitation is lawful.
The cap does not limit statutory consumer remedies or the section 8 refund guarantee. If a court or tribunal determines that the cap is unlawful or unfair, it is not enforceable to that extent; the words "where lawful" do not make an otherwise unfair cap enforceable.
11.6 Liabilities not excluded or capped
The exclusions and cap in sections 11.4 and 11.5 do not apply to fraud, fraudulent misrepresentation or deliberate misconduct by Bight Audio; death or personal injury caused by Bight Audio's negligence; or any other liability that applicable law prohibits excluding or limiting. They do not prevent you from making a complaint to a regulator or exercising a mandatory right to bring a claim.
11.7 Third-party systems
RELAYER interacts with third-party operating systems, audio hosts, interfaces and licensing infrastructure. Bight Audio does not control those systems or promise their uninterrupted availability. This does not transfer Bight Audio's own legal responsibilities to those providers, exclude liability for Bight Audio's contribution to a loss, or alter the offline-activation commitments in section 4.
Termination
You may stop using the Software at any time.
Bight Audio may terminate your licence for a material breach of this agreement. Where the breach can reasonably be remedied, Bight Audio will give notice and a reasonable opportunity to remedy it before termination.
Following valid termination, you must stop using and remove the Software. Termination does not remove accrued rights or remedies under consumer law.
Third-party software
The Software includes third-party components. Their applicable notices and licence terms are provided with the Software. Those terms continue to apply to the relevant components.
Governing law and disputes
This agreement is governed by the laws of Victoria, Australia, subject to any mandatory protections that apply where you live.
Please contact hello@bightaudio.com first so Bight Audio can attempt to resolve a concern. This does not prevent you from exercising statutory rights or approaching a regulator, tribunal or court.
Changes, severability and continuing rights
A website update alone does not retrospectively replace the terms accepted for an existing Software licence. If Bight Audio proposes materially different terms for a future supply or upgrade, it will identify those terms and seek agreement where required by law. Accrued rights and remedies are preserved.
If a provision is unlawful, unfair or unenforceable, it will not be relied on to that extent. The remaining provisions continue only so far as they can operate lawfully without it. This clause does not make an unlawful or unfair provision valid.
Sections concerning ownership, your audio, accrued payment or refund rights, applicable liability rules and disputes continue after termination to the extent relevant to matters arising during the agreement. Termination does not create new obligations or remove the rights preserved by section 11.1.
